HCA Announces Proposed Public Offering of $1 Billion Senior Notes

NASHVILLE, Tenn.--(BUSINESS WIRE)-- HCA Holdings, Inc. (NYSE:HCA) today announced that its wholly owned subsidiary, HCA Inc., proposes to offer, subject to market and other considerations, $1 billion aggregate principal amount of senior secured notes and senior unsecured notes. Actual terms of the notes, including interest rate and principal amount, will depend on market conditions at the time of pricing. HCA Inc. intends to use the net proceeds of this offering to redeem and repurchase $900 million of its $1.578 billion aggregate principal amount outstanding of 9⅝%/10⅜% second lien toggle notes due 2016 and to pay related fees and expenses.

JPMorgan, Barclays Capital, BofA Merrill Lynch, Citi, Deutsche Bank Securities and Wells Fargo Securities are acting as the joint book-running managers for the offering.
