Community Health Systems, Inc. Announces Completion of Tender Offer for Its 8 7/8% Senior Notes Due 2015

FRANKLIN, Tenn.--(BUSINESS WIRE)-- Community Health Systems, Inc. (the “Company”) (NYSE: CYH) today announced the completion of the previously announced cash tender offer by its wholly-owned subsidiary, CHS/Community Health Systems, Inc. (the “Issuer”), for up to $850 million of the Issuer’s approximately $1.784 billion aggregate principal amount of 8⅞% Senior Notes due 2015 then outstanding (the “Notes”). The tender offer expired at 5:00 p.m., New York City time, on April 4, 2012.

As previously announced, as of the early tender deadline of 12:00 midnight, New York City time, on March 20, 2012 (the “Early Tender Deadline”), $1,671,713,000 in aggregate principal amount, or approximately 93.7 percent, of the outstanding Notes had been validly tendered and not withdrawn. As the tender offer was oversubscribed, the Issuer accepted for purchase $850 million aggregate principal amount of tendered Notes on a prorated basis in the manner described in the Issuer’s Offer to Purchase, as supplemented by the Supplement to Offer to Purchase, each dated March 7, 2012. Payment for Notes accepted for purchase on the Early Tender Deadline was made on March 21, 2012. Holders who tendered Notes after the Early Tender Deadline did not have any of their Notes accepted for purchase.
