Merger off between WebMD, HLTH

A merger that was announced in February between HLTH and WebMD will not take place. According to Modern Healthcare, HLTH already had an 84 percent ownership stake in WebMD, which will have $340 million in cash and investments, with no long-term debt. The main culprit in the merger's demise? The economy, according to Martin Wygod, board chairman for both WebMD and HLTH. "In the current economic environment, it is important for a growth company like WebMD not to be encumbered by $650 million in long-term debt that would be coming due in 18 to 36 months," he said in a written statement.

Under the terms of the initial agreement, WebMD was to receive $700 million in cash and investments, while HLTH would have reduced its shares in the website from 84 percent to 80 percent. HLTH has also had difficulty trying to sell second subsidiary, Porex, due to financing issues.

> The CDC has awarded $38 million in contracts to help health information exchanges and regional health information organizations to create data sharing plans used to deliver information to public health authorities. Report

> The Los Angeles Times reports that yet another transplant program--this time at USC University Hospital--is in trouble. Analysis of hospital statistics reveals that the USC liver transplant program's mortality rates are twice the national average. As FierceHealthcare readers already know, USC is just one of a growing number of hospitals facing transplant program problems. Report

> A federal appeals court in Atlanta has thrown the sentence for former HealthSouth CFO Michael Martin. The court found the recommended seven-day sentence too short. Article (WSJ sub. req.)

> Chutes & Ladders: HCA has named VA undersecretary of health Jonathan Perlin to the spot of senior vice president of quality and chief medical officer. Perlin has resigned from his position at the VA. Report

> According to one report, 79 percent of physicians encourage patients to use the Internet for medical information. Most often, they recommend WebMD as a reputable online source. Release

> Regulators in South Carolina have denied Presbyterian Healthcare's attempt to block Tenet's Piedmont Medical Center of Rock Hill to build a 100-bed hospital. Report

> Behrman Capital has sold Tandem Healthcare to JER Partners and Formation Capital for $620 million. Florida-based Tandem owns or manages 77 facilities in 12 states. Report

> North Carolina's Medicaid program actually spent $350 million from 2005 to 2006, less than originally anticipated. The state credits Medicare Part D for the savings. Article

> The American Society for Healthcare Engineering is educating members on methods to reduce energy waste.
And Finally... How can a three-year-old tell a doctor how much pain he's in on a scale from one to five? Children have difficulty describing their pain levels, but a Phoenix Children's Hospital program has found a way around that problem. Report

Revolution Health pursues green strategy

Steve Case appears to be gambling that "green" healthcare is the wave of the future. More news from the Revolution Health Group this week, as we learn a bit more about Case's ambitious plans to create an online consumer healthcare powerhouse. It's becoming clear that the idea is less to create a WebMD clone or a next generation Healtheon, but to aim for a more lucrative and easily attainable target: the wellness market. The Post reports that Case's goal is to create a "meta-brand," a sort of "Nike of wellness." The thinking is that not everybody is comfortable with alternative medicines and products. The former AOL-Time Warner chief explains. "People are intrigued with these ideas. They're willing to give it a shot if given a safe, comfortable way to do that and not be targeted by the yoga police."

Medical Quicken shapes up

Intuit has been making waves since it announced an agreement with Ingenix, Hewitt Associates and several others about getting into the personal health record space. FierceHealthcare editor Matthew Holt recently met with Mike Battaglia, the new SVP of Health Care at Intuit. Battaglia has come from Humana, where he led the insurer's consumer research and marketing efforts. That he's moved to Intuit, a company known for fixing information and transactional problems for consumers and small businesses with its Quicken and TurboTax products, is indicative of a wider move by consumer companies into healthcare. Although Intuit's exact product and strategy won't be announced for a year or so, it's clear that "Medical Quicken" will be a major player, along with WebMD and perhaps several others, in the development of accessible information about their providers, insurers and health information. Definitely watch this space.

Reaction to Google Health service positive

More details are filtering to the surface after yesterday's "sort-of" launch of Google Health. The health.google domain may not be active yet but the consensus is that the prototype of the new service is alive and kicking on Google's new Co-Op service. The initial response appears to be positive but there are a few dissenters. LeeAnn Prescott of Hitwise wonders if Google is overextending itself, noting that many of the search giant's recent offering have yet to catch on with surfers. Its always a possibility given how busy the search engine company has been of late, but Google's move to add user ratings to health care information to improve their reliability--one of the biggest problems on facing surfers--looks like a potential winner to us.

- see this article from Search Engine Journal

PLUS: The reaction within the healthcare community appears to be generally enthusiastic, given Google's recent dominance in healthcare search. Medblogger Enoch Choi turns out to be a early participant. If you're a specialist, or a practice looking to gain some attention, you may want to set up a profile and establish yourself early on. Blog

ALSO: Shares of WebMD Health fell as the markets took note of Google's move. Article

The markets took note as AllScripts released first quarter numbers that show improvement in the company's software business. Revenue from software and related services nearly doubled to $28.3 million. Allscript's shares were up ten percent today, rising to $19.85 before showing signs of cooling. Despite some versions that suggest that earnings were below expectation, investors appear to be cheered by increased future earnings forecasts. AllScripts acquired A4Health Systems in January. The company provided the Emergency Department System which Midland Memorial Hospital announced it will purchase yesterday

WebMD Health shares rose five percent yesterday on word that the company is making good on its growth projections. WebMD Health says unique monthly users to its network increased 23 percent to 29.2 million, with total traffic of 746 million page views during the quarter, up 27 percent from a year ago.

This week Dell will become the largest U.S. employer to mandate electronic medical records (EMRs) for employees, BusinessWeek reports. CEO Kevin Rollins is expected to announce an initiative at a healthcare forum in Tennessee today that will make 26,000 of the company's employees EMRs. The records will allow employees to track insurance and prescription data as well as medical information. Unlike earlier programs which have relied on employees to enter data, the new system will automatically capture data on test results and treatment. WebMD will provide the technology behind the employee records, which will technically be personal health records.

Shares of WebMD Health are up this week after an analyst upgrade focused Wall Street's attention on the company. JMP Securities analyst William Morrison said he believes the company will generate more traffic than expected for its consumer healthcare Web sites in the second half of the year, as consumers looking for health-related information turn to the company for answers. WebMD Health shares were up 4.4 percent yesterday to $37.60. The company's stock is up nearly 30 percent so far this year. Morrison said he thinks the company's strong market position will allow it to increase advertising rates.
